Sainsbury’s and Morrisons held talks for a billion-pound merger

Sainsbury’s and Morrisons held talks this year for a billion-pound merger agreement. The merger of the two supermarkets could have created the biggest change in the UK supermarket sector that has been awaited for many years. However, it is reported that neither party is currently actively negotiating.

Morrisons was acquired in 2021 by the American private equity firm Clayton Dubilier & Rice. This acquisition added more than £7 billion in debt to Morrisons' balance sheet and hindered its ability to grow as quickly as its competitors. In fact, this year, it was overtaken in market share by Lidl, a German discount supermarket.

If the merger had occurred, Sainsbury’s and Morrisons would have formed a business with a 23.6% market share. However, this figure would still lag behind Tesco, which has a 27.8% market share. Previously, in 2019, the merger attempt between Asda and Sainsbury’s was blocked by the Competition and Markets Authority on the grounds that it would reduce competition and could lead to higher prices for consumers.

The merger is also thought to be a politically sensitive issue; as many households have been struggling with persistent food inflation in recent years. It is also reported that Clayton Dubilier & Rice is open to Morrisons merging with another major supermarket. It is suggested that Asda could also be involved in these talks.

Sainsbury’s shares, which are traded on the London Stock Exchange, have seen a 3% decline this year, while Tesco's shares have increased by 6%. Sainsbury’s employs around 140,000 people and is the second-largest supermarket in the UK in terms of market share. The company decided to sell Argos for £120 million during the summer, preferring to focus on its core grocery business.
