Paramount Reached Agreement with 12 States, Gave Green Light to Warner Merger

Paramount reached an agreement with 12 states, including California, in the planned $81 billion merger process with Warner Bros Discovery. California Attorney General Rob Bonta announced that this agreement would allow the most recognized television networks and studios in Hollywood to come under one roof. Despite the merger being approved by the Department of Justice in June, 12 states had objected to the merger. Among the states' concerns were that the merger of two major studios would eliminate competition and result in fewer films being shown in theaters. Bonta stated at a press conference that Paramount committed to significantly increasing production in the United States, particularly in Los Angeles. He emphasized that this would create more job opportunities and economic activity. However, he warned that this agreement did not mean support for the merger, as further consolidation could negatively impact the American economy and competition. Paramount pledged to maintain the independent editorial boards of CBS and CNN as part of the agreement. Additionally, it agreed to produce $300 million worth of internal production on the condition that the newly merged company distributes 30 films in the first two years and 32 films in the following three years. If these distribution commitments are not met, Paramount will be subject to a financial penalty. The agreement is considered a significant gain as it does not require Paramount to sell its cable channels. This process had been a challenging period for Paramount executives; as the merger date passed September 30, it could have increased the cost of the agreement. David Ellison, CEO of Paramount, argued that the agreement aims to create a stronger Hollywood and that this merger would enhance competition. Ellison stated, "Our goal is to tell more stories and provide consumers with more choices." As a result, Paramount's agreement with 12 states is recorded as an important step towards the merger with Warner Bros Discovery.
